Terms of Service for Argaman X Media AI Sales Agent (WhatsApp)

1. Acceptance of Terms

Welcome to the Argaman X Media AI Sales Agent (the "Agent") provided via WhatsApp. By interacting with the Agent, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Agent. These Terms constitute a legally binding agreement between you and Argaman X Media ("we," "us," or "our").

2. Description of Service

The Agent is an automated AI chatbot designed to provide preliminary information about Argaman X Media's services, conduct an initial budget qualification assessment, check availability in Adam Argaman's calendar, assist in scheduling an introductory meeting, handle meeting rescheduling/cancellations upon your request, and provide related information (like links to presentations or reminders). The Agent interacts with you through the WhatsApp Business Platform.

3. Permitted Use

You agree to use the Agent only for its intended purposes: inquiring about Argaman X Media's services and facilitating the scheduling of a potential meeting. You agree not to:

• Use the Agent for any unlawful purpose.
• Spam, harass, or abuse the Agent or Argaman X Media staff through the Agent.
• Attempt to interfere with, disrupt, or compromise the Agent's functionality or security.
• Provide false or misleading information (e.g., regarding budget or email address).
• Use the Agent for purposes other than exploring Argaman X Media's services and scheduling an introductory meeting.

4. AI Nature and Limitations

You acknowledge that you are interacting with an Artificial Intelligence agent, not a human. While we strive for accuracy:

• The Agent's responses are based on its programming and the information available to it. It may occasionally misunderstand your input or provide incomplete or inaccurate information.
• Information provided by the Agent, especially regarding service details or pricing (other than the stated budget minimum), should be considered preliminary and non-binding until confirmed by a human representative of Argaman X Media.
• Proposed meeting times are based on calendar availability checks but are subject to real-time changes and final confirmation only occurs once the Agent explicitly states the meeting is booked and the calendar event is created.

5. Scheduling Process

The Agent facilitates scheduling but does not guarantee a meeting. The process typically involves budget qualification, proposing available times based on a calendar check, requesting your email address, and potentially asking for your meeting location preference (office/online). A meeting is only considered confirmed after the Agent uses its tools to create the event in the calendar and confirms this action to you. Providing an email address is necessary for the booking confirmation and calendar invitation.

6. No Guarantees

Interaction with the Agent does not guarantee that a meeting will be successfully scheduled or that Argaman X Media will engage in a business relationship with you. The Agent serves as an initial point of contact and scheduling assistant. All final decisions regarding client engagement rest solely with Argaman X Media.

7. Privacy

Your privacy is important to us. Our collection and use of your personal information through the Agent are governed by our separate Privacy Policy, which can be found here: https://www.argm.co.il/whatsapp-agent-privacy. By using the Agent, you consent to the data practices described in the Privacy Policy.

8. Third-Party Services

The Agent relies on third-party services, including WhatsApp (Meta), AI model providers (e.g., OpenAI), Google Calendar, and our hosting/automation infrastructure (n8n). Your use of the Agent is also subject to the terms and policies of these third parties (particularly WhatsApp/Meta). We are not responsible for the availability or performance of these third-party services.

9. Disclaimers of Warranties

THE AGENT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AGENT WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, RELIABLE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARGAMAN X MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE AGENT; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE AGENT; OR (c) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice, potentially by updating the Effective Date or through other reasonable means. Your continued use of the Agent after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.
